‎Terms of Use Agreement for Vendors and Franchisees

‎1. ACCEPTANCE OF TERMS

‎By accessing or using any Don'Q platform including but not limited to our Automated Onboarding Officer, Marketing Manager system, and Automated CRM (collectively, the "Platforms"), you ("User," "Vendor," or "Franchisee") agree to be bound by these Terms of Use ("Agreement"). If you do not agree to these terms, you must discontinue use of all Platforms immediately.

‎2. PLATFORM ACCESS AND USAGE

‎2.1 Authorized Use: Access to Don'Q Platforms is restricted to authorized vendors, franchisees, and their designated representatives who have entered into a valid agreement with Don'Q.

‎2.2 User Credentials: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

‎

‎2.3 Platform Integration: You acknowledge and agree that our Platforms are interconnected systems designed to optimize service delivery through seamless integration.

‎

‎3. CROSS-PLATFORM REDIRECTION AND SYNERGY

‎3.1 Automated Redirection: You expressly agree that while using any of our Platforms, you may be automatically redirected to other Don'Q platforms or integrated third-party services to enhance synergy of service delivery.

‎

‎3.2 Seamless Experience: These redirections are designed to provide you with a comprehensive and efficient user experience across our ecosystem of services.

‎

‎3.3 Data Continuity: Your data and session information may be shared across platforms to maintain continuity and improve service delivery.

‎

‎4. PLATFORM-SPECIFIC PROVISIONS

‎4.1 Automated Onboarding Officer: This platform facilitates vendor/franchisee registration, documentation processing, and initial setup procedures.

‎

‎4.2 Marketing Manager: This system provides marketing tools, campaign management, brand compliance monitoring, and promotional resources.

‎

‎4.3 Automated CRM: This platform manages customer relationships, sales tracking, communication logs, and business analytics.

‎

‎5. USER OBLIGATIONS

‎5.1 Accurate Information: You must provide accurate, current, and complete information when using the Platforms.

‎

‎5.2 Compliance: You agree to comply with all applicable laws, regulations, and Don'Q brand standards while using the Platforms.

‎

‎5.3 Prohibited Activities: You shall not:

‎- Attempt to gain unauthorized access to any platform or system

‎- Interfere with or disrupt platform operations

‎- Use the platforms for any unlawful or unauthorized purposes

‎- Share access credentials with unauthorized parties

‎

‎6. DATA PROTECTION AND PRIVACY

‎6.1 Data Collection: We collect and process data necessary for platform functionality and business operations in accordance with our Privacy Policy.

‎

‎6.2 Data Sharing: By using our Platforms, you consent to data sharing between platforms for operational efficiency and service improvement.

‎

‎6.3 Security: We implement reasonable security measures to protect your data, though no system is completely secure.

‎

‎7. INTELLECTUAL PROPERTY

‎7.1 Platform Ownership: All Platforms, including software, design, content, and trademarks, remain the exclusive property of Don'Q.

‎

‎7.2 Limited License: You are granted a limited, non-exclusive, non-transferable license to use the Platforms solely for authorized business purposes.

‎

‎8. PLATFORM AVAILABILITY AND MODIFICATIONS

‎8.1 Availability: While we strive for continuous availability, we do not guarantee uninterrupted access to the Platforms.

‎

‎8.2 Maintenance: We reserve the right to perform maintenance, updates, or modifications that may temporarily affect platform availability.

‎

‎8.3 Changes to Terms: We may modify these terms at any time. Continued use of the Platforms constitutes acceptance of modified terms.

‎

‎9. LIMITATION OF LIABILITY

‎9.1 Service Basis: Platforms are provided "as is" without warranties of any kind.

‎

‎9.2 Liability Cap: Don'Q's total liability shall not exceed the fees paid by you for platform access in the preceding 12 months.

‎

‎9.3 Excluded Damages: We shall not be liable for indirect, incidental, special, or consequential damages.

‎

‎10. TERMINATION

‎10.1 Termination Rights: Either party may terminate access with [30] days' written notice.

‎

‎10.2 Effect of Termination: Upon termination, your access to all Platforms will cease, and any outstanding obligations shall survive termination.

‎

‎11. GENERAL PROVISIONS

‎11.1 Governing Law: This Agreement shall be governed by Nigeria law.

‎

‎11.2 Dispute Resolution: Disputes shall be resolved through [arbitration/mediation] in [Location].

‎

‎11.3 Entire Agreement: This Agreement constitutes the entire agreement regarding platform usage and supersedes all prior agreements.

‎

‎11.4 Severability: If any provision is deemed invalid, the remainder of the Agreement shall remain in effect.

‎

‎By using Don'Q Platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
