## 1. INTRODUCTION AND DEFINITIONS

### 1.1 About Don'Q Technologies Incorporated

Don'Q Technologies Incorporated ("Don'Q Tech," "Company," "we," "us," or "our") is a technology-driven franchise development and business ecosystem organization operating under the Dream2CEO™ framework. We provide integrated solutions, platforms, and support systems for entrepreneurs, businesses, and franchise operations.

### 1.2 Definitions

**"Affiliate"** means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.

**"Agreement"** means these Terms of Agreement and Use, including all schedules, appendices, and amendments.

**"CEO Solutions"** refers to the comprehensive suite of business management, technology, and operational tools provided by Don'Q Technologies.

**"Confidential Information"** means all non-public information disclosed by one party to another under this Agreement.

**"Customer"** means any individual or entity purchasing products or services from Don'Q Technologies for end-use.

**"Dream2CEO™ Framework"** means the proprietary business development methodology and ecosystem created by Don'Q Technologies.

**"Franchisee"** means an individual or entity granted the right to operate a business under the Don'Q Technologies franchise system.

**"Intellectual Property"** means all patents, trademarks, service marks, copyrights, trade secrets, and proprietary information owned by Don'Q Technologies.

**"Partner"** means an individual or entity entering into a collaborative business relationship with Don'Q Technologies.

**"Platform"** means the Don'Q Technologies digital infrastructure, including software, applications, and online services.

**"Territory"** means the designated geographic area assigned to a Franchisee or Partner.

**"Vendor"** means any individual or entity providing goods or services to Don'Q Technologies or its network.

## 2. GENERAL TERMS APPLICABLE TO ALL PARTIES

### 2.1 Acceptance of Terms

By engaging with Don'Q Technologies Incorporated in any capacity—as a Customer, Vendor, Franchisee, Partner, or other relationship—you acknowledge that you have read, understood, and agree to be bound by these Terms of Agreement.

### 2.2 Modification of Terms

Don'Q Technologies reserves the right to modify these Terms at any time. We will provide notice of material changes through appropriate channels. Continued engagement after such modifications constitutes acceptance of the revised Terms.

### 2.3 Eligibility and Capacity

All parties must:
- Be at least 18 years of age or the age of majority in their jurisdiction
- Have the legal capacity to enter into binding agreements
- Provide accurate and complete information
- Comply with all applicable laws and regulations

### 2.4 Code of Conduct

All parties agree to:
- Conduct business with integrity, honesty, and professionalism
- Respect the intellectual property and confidential information of Don'Q Technologies
- Maintain the reputation and brand standards of Don'Q Technologies
- Refrain from any unlawful, fraudulent, or unethical conduct
- Foster an inclusive, respectful, and discrimination-free environment

### 2.5 Compliance with Laws

All parties must comply with all applicable federal, state, local, and international laws, including but not limited to:
- Business licensing and registration requirements
- Tax obligations
- Employment and labor laws
- Consumer protection laws
- Data protection and privacy regulations
- Anti-money laundering and anti-corruption laws

## 3. CUSTOMER/VENDOR TERMS

### 3.1 Customer Terms

#### 3.1.1 Account Registration

Customers may be required to create an account to access certain services. Customers agree to:
- Provide accurate, current, and complete information
- Maintain the security of account credentials
- Notify Don'Q Technologies immediately of unauthorized access
- Accept responsibility for all activities under their account

#### 3.1.2 Product and Service Purchases

- All purchases are subject to acceptance by Don'Q Technologies
- Prices are subject to change without notice
- Payment is due according to the terms specified at the time of purchase
- Taxes, shipping, and handling charges may apply

#### 3.1.3 Refunds and Returns

- Refund and return policies vary by product and service
- Requests must be made within the specified timeframe
- Services rendered are generally non-refundable
- Digital products may have limited return eligibility

#### 3.1.4 Customer Responsibilities

Customers agree to:
- Use products and services only for lawful purposes
- Not interfere with the operation of the Platform
- Not attempt to gain unauthorized access to any systems
- Provide feedback and report issues in good faith

### 3.2 Vendor Terms

#### 3.2.1 Vendor Qualification

Vendors must:
- Meet Don'Q Technologies' qualification standards
- Provide proof of insurance, licensing, and certifications
- Undergo background checks as required
- Demonstrate financial stability and operational capability

#### 3.2.2 Supply and Service Standards

Vendors agree to:
- Provide products and services that meet specified quality standards
- Deliver on time according to agreed schedules
- Maintain appropriate inventory levels
- Comply with Don'Q Technologies' supplier code of conduct

#### 3.2.3 Pricing and Payment Terms

- Pricing shall be competitive and consistent with market standards
- Payment terms are net 30 days unless otherwise agreed
- Vendors must invoice accurately and promptly
- Disputes must be raised within 15 days of invoice date

#### 3.2.4 Quality Assurance and Compliance

Vendors must:
- Maintain quality management systems
- Submit to periodic audits and inspections
- Comply with all applicable safety and regulatory requirements
- Maintain appropriate product liability insurance

#### 3.2.5 Vendor Performance

Don'Q Technologies reserves the right to:
- Evaluate vendor performance regularly
- Reduce or terminate orders based on performance
- Require corrective action plans
- Terminate the vendor relationship for cause

## 4. FRANCHISEE/PARTNER TERMS

### 4.1 Franchise Grant

#### 4.1.1 License Grant

Subject to the terms of this Agreement and the Franchise Disclosure Document (FDD), Don'Q Technologies grants the Franchisee a non-exclusive, non-transferable license to:
- Operate a franchise business using the Don'Q Technologies system
- Use the Don'Q Technologies trademarks, service marks, and trade dress
- Access and utilize the CEO Solutions platform and tools
- Receive training and ongoing support

#### 4.1.2 Territory Rights

- Franchisees are assigned a specific Territory as defined in the Franchise Agreement
- Territory rights may be exclusive or non-exclusive as specified
- Don'Q Technologies reserves the right to operate corporate locations
- Internet and e-commerce sales may not be territorially restricted

#### 4.1.3 Term and Renewal

- Initial franchise term: [10 years] from the opening date
- Renewal options: [Two (2) successive 5-year terms]
- Renewal is subject to meeting performance standards and payment of renewal fees
- Franchisee must provide notice of intent to renew [12 months] prior to expiration

### 4.2 Franchisee Obligations

Franchisees must pay:

- Meet quality and customer service standards
- Use only approved suppliers and products
- Maintain required inventory levels
- Keep accurate books and records
- Submit required reports on time

#### 4.2.5 Marketing and Branding

Franchisees must:
- Comply with brand standards and guidelines
- Use only approved marketing materials
- Participate in national and regional marketing campaigns
- Contribute to the marketing fund
- Obtain approval for local marketing initiatives
- Maintain active social media presence according to guidelines

#### 4.2.6 Technology Requirements

Franchisees must:
- Use the prescribed point-of-sale (POS) system
- Maintain required hardware and software
- Ensure internet connectivity and cybersecurity
- Update systems as required
- Protect customer data according to privacy standards

#### 4.2.7 Reporting Requirements

Franchisees must submit:
- Weekly sales reports
- Monthly financial statements
- Annual audited financial statements
- Customer satisfaction data
- Inventory reports
- Any other reports as specified in the Operations Manual

### 4.3 Support and Services Provided by Don'Q Technologies

Don'Q Technologies will provide:

#### 4.3.1 Initial Support
- Site selection assistance
- Lease negotiation guidance
- Construction and design specifications
- Initial training program (2-4 weeks)
- Grand opening support
- Initial marketing campaign

#### 4.3.2 Ongoing Support
- Access to the Operations Manual (updated regularly)
- Field representative visits and consultations
- Online support portal and helpdesk
- Marketing materials and campaigns
- Product development and innovation
- Technology platform updates and maintenance
- Peer networking opportunities
- Annual conferences and regional meetings

#### 4.3.3 CEO Solutions Platform Access
- Business intelligence and analytics dashboards
- Customer relationship management (CRM) tools
- Financial management and reporting systems
- Inventory management systems
- Employee scheduling and payroll integration
- Marketing automation tools
- Training and compliance modules

### 4.4 Performance Standards

#### 4.4.1 Minimum Performance Requirements

Franchisees must:
- Achieve minimum gross revenue targets as specified
- Maintain customer satisfaction scores above [threshold]
- Pass quality assurance inspections
- Maintain required financial ratios
- Comply with all system standards

#### 4.4.2 Consequences of Non-Performance

Failure to meet performance standards may result in:

- Termination of franchise agreement

### 4.5 Transfer and Assignment

#### 4.5.1 Restrictions on Transfer

Franchisees may not sell, transfer, or assign the franchise without:
- Prior written consent of Don'Q Technologies
- Payment of transfer fees
- New owner meeting qualification standards
- New owner completing training
- All financial obligations being current

#### 4.5.2 Right of First Refusal

Don'Q Technologies has the right of first refusal to purchase the franchise business on the same terms offered by a third party.

#### 4.5.3 Death or Disability

In the event of franchisee's death or disability:
- Estate or representative may continue operating for [180 days]
- Transfer to qualified family member may be permitted
- Don'Q Technologies may offer to purchase the franchise

## 5. STRATEGIC PARTNERSHIP TERMS

### 5.1 Types of Partnerships

Don'Q Technologies engages in various partnership structures:

- Multi-unit developers opening multiple franchise locations
- Area developers responsible for franchise development in a region
- Master franchisees with sub-franchising rights

#### 5.1.2 Technology Partners
- Software and platform integration partners
- Payment processing partners
- Data analytics and business intelligence partners

#### 5.1.3 Strategic Alliances
- Co-marketing partnerships
- Product and service collaborations
- Industry association affiliations

### 5.2 Partnership Obligations

#### 5.2.1 Mutual Obligations

Partners and Don'Q Technologies agree to:
- Act in good faith and deal fairly
- Communicate openly and promptly
- Respect confidential information
- Support mutual business objectives
- Comply with applicable laws

#### 5.2.2 Development Partner Obligations

Development Partners must:
- Meet specified development schedules
- Open minimum number of locations within timeframes
- Maintain adequate financial resources
- Recruit and support sub-franchisees (if applicable)
- Achieve performance targets

#### 5.2.3 Technology Partner Obligations

Technology Partners must:
- Maintain system uptime and performance standards
- Provide technical support
- Ensure data security and compliance
- Deliver updates and enhancements
- Maintain appropriate certifications

### 5.3 Revenue Sharing and Compensation

- Partnership compensation structures vary by agreement type
- May include revenue sharing, royalty splits, or fee arrangements
- Payment terms and conditions specified in individual partnership agreements
- Performance incentives may be available

### 5.4 Partnership Term and Termination

- Term length specified in individual partnership agreement
- Renewal options subject to performance
- Termination provisions for cause or convenience
- Wind-down obligations upon termination

## 6. INTELLECTUAL PROPERTY RIGHTS

### 6.1 Ownership of Intellectual Property

Don'Q Technologies owns all right, title, and interest in:
- The Don'Q Technologies name, logos, and trademarks
- The Dream2CEO™ framework and methodology
- The CEO Solutions platform and technology
- Operations manuals and training materials
- Marketing materials and creative content
- Trade secrets and proprietary information

### 6.2 License to Use

Franchisees and Partners receive a limited, non-exclusive license to use Don'Q Technologies' intellectual property solely for the operation of their authorized business and only during the term of the agreement.

### 6.3 Restrictions on Use

Parties may not:
- Use intellectual property for unauthorized purposes
- Modify, alter, or create derivative works
- Register or attempt to register similar marks
- Contest the validity of Don'Q Technologies' intellectual property
- Use intellectual property after termination

### 6.4 Protection of Intellectual Property

All parties agree to:
- Use intellectual property only as authorized
- Report any infringement or misuse
- Cooperate in enforcement actions
- Assign rights in improvements or developments
- Maintain confidentiality of proprietary information

### 6.5 Domain Names and Social Media

- Franchisees may not register domain names containing Don'Q Technologies marks
- Social media accounts must be approved and may be controlled by Don'Q Technologies
- Upon termination, all digital assets must be transferred

## 7. TECHNOLOGY PLATFORM AND SERVICES

### 7.1 CEO Solutions Platform

#### 7.1.1 Access and Use

Authorized users receive access to the CEO Solutions platform, including:
- Cloud-based business management tools
- Mobile applications
- Data analytics and reporting
- Integration with third-party systems
- Technical support

#### 7.1.2 User Responsibilities

Users must:
- Maintain secure login credentials
- Use the platform only for authorized purposes
- Not attempt to breach security measures
- Report security incidents promptly
- Comply with acceptable use policies

#### 7.1.3 Data Backup and Security

- Don'Q Technologies implements industry-standard security measures
- Regular backups are performed
- Users are responsible for their own data verification
- Don'Q Technologies is not liable for data loss due to user error

### 7.2 Service Level Agreement (SLA)

- Platform uptime target: 99.5% (excluding scheduled maintenance)
- Scheduled maintenance windows communicated in advance
- Technical support available [hours and contact methods]
- Response times based on severity level

### 7.3 Updates and Modifications

Don'Q Technologies may:
- Update and modify the platform at any time
- Add or remove features
- Change system requirements
- Require users to upgrade to new versions

### 7.4 Integration with Third-Party Services

- Users are responsible for separate agreements with third parties
- Don'Q Technologies is not responsible for third-party service failures
- Integration support provided as specified

## 8. FINANCIAL TERMS AND PAYMENT OBLIGATIONS

### 8.1 Payment Methods

Payments may be made by:
- Electronic funds transfer (EFT) or ACH
- Credit card or debit card
- Wire transfer
- Check (subject to approval)

### 8.2 Payment Due Dates

- All payments are due on the dates specified in individual agreements
- Late payments subject to late fees and interest
- Don'Q Technologies may suspend services for non-payment
- Collection costs are the responsibility of the non-paying party

### 8.3 Late Fees and Interest

- Late fee: [Amount or percentage] per occurrence
- Interest on overdue amounts: [Rate]% per month or maximum allowed by law
- Late fees and interest accrue from due date

### 8.4 Taxes

- All parties are responsible for their own tax obligations

Franchisees must:

#### 8.5.2 Audit Rights

Don'Q Technologies may:
- Audit franchisee books and records during business hours
- Hire third-party auditors
- Require payment of audit costs if underreporting discovered
- Access point-of-sale and financial systems remotely

### 8.6 Insurance Requirements

All franchisees and certain partners must maintain:
- General liability insurance: $[Amount] per occurrence
- Property insurance covering all assets
- Workers' compensation as required by law
- Professional liability if applicable

Don'Q Technologies must be named as additional insured on all applicable policies.

- Technology and trade secrets
- Business strategies and projections

#### 9.1.2 Obligations

All parties must:
- Maintain strict confidentiality
- Use confidential information only for authorized purposes
- Limit disclosure to authorized personnel
- Implement reasonable security measures
- Return or destroy confidential information upon termination

#### 9.1.3 Exception

‎Confidential Information does not include information that:
Is or becomes publicly available through no fault of recipient
Was known to recipient prior to disclosure
Is independently developed by recipient
Is required to be disclosed by law

9.2 Data Protection and Privacy

9.2.1 Compliance with Privacy Laws
All parties must comply with applicable data protection laws, including:
General Data Protection Regulation (GDPR) if applicable
California Consumer Privacy Act (CCPA)
Other state and federal privacy laws

9.2.2 Customer Data
Parties collecting customer data must:
Obtain appropriate consent
Use data only for authorized purposes
Implement security safeguards
Report data breaches promptly
Honor customer privacy rights

9.2.3 Data Sharing
Customer and business data may be shared within the Don'Q Technologies network
Data used for analytics, reporting, and system improvement
Personally identifiable information protected and anonymized when possible

9.3 Non-Disclosure and Non-Compete

9.3.1 Non-Disclosure
Parties agree not to disclose confidential information:
During the term of the agreement
For [2-5 years] after termination
Exception for legally required disclosures

9.3.2 Non-Compete (Franchisees)
During the term and for [2 years] after termination, franchisees agree not to:
Own, operate, or have interest in competing businesses
Solicit Don'Q Technologies customers or employees
Operate within [radius] miles of former location or other franchise locations
Use confidential information in competing ventures

10. TERM, TERMINATION, AND RENEWAL

10.1 Term
The term of this Agreement begins on the Effective Date and continues for the period specified in the individual agreement applicable to each relationship type.

10.2 Renewal

10.2.1 Renewal Process
To renew:
Provide written notice within specified timeframe
Be in good standing with all obligations current
Meet performance standards
Pay renewal fees
Sign the then-current form of agreement
Complete required training

10.2.2 Changes Upon Renewal
Renewal agreements may include:
Updated terms and conditions
Modified fee structures
New technology requirements
Enhanced support services

10.3 Termination by Don'Q Technologies

10.3.1 Termination for Cause (Immediate)
Don'Q Technologies may terminate immediately for:
Fraud, misrepresentation, or dishonesty
Criminal conviction of felony or moral turpitude offense
Abandonment of business
Unauthorized transfer or assignment
Repeated failure to meet standards
Loss of license or right to operate
Bankruptcy or insolvency
Unauthorized use of intellectual property
Material breach not cured within notice period

10.3.2 Termination for Cause (With Notice)
Don'Q Technologies may terminate with [30-60 days] notice for:
Failure to pay fees or amounts due
Failure to meet performance standards
Failure to comply with operations manual
Three or more deficiency notices in 12 months
Any material breach not otherwise specified

10.3.3 Termination Without Cause
Don'Q Technologies may terminate certain agreements without cause upon [90-180 days] prior written notice.

10.4 Termination by Franchisee/Partner
Franchisees/Partners may terminate:
For cause if Don'Q Technologies commits material breach and fails to cure
Upon mutual agreement with Don'Q Technologies
As specified in individual agreements

10.5 Obligations Upon Termination
Upon termination or expiration, parties must:

10.5.1 Immediate Obligations
Cease using all Don'Q Technologies marks and intellectual property
Remove all signage, materials, and identifying features
Cancel assumed names and fictitious business registrations
Pay all amounts owed
Return all confidential materials
Transfer phone numbers, domain names, and social media accounts

10.5.2 De-identification
Remove all Don'Q Technologies branding from premises
De-identify uniforms, vehicles, and materials
Discontinue any association with Don'Q Technologies
Complete within [30 days] of termination

10.5.3 Post-Termination Covenants
Non-compete obligations remain in effect
Confidentiality obligations continue
Non-solicitation restrictions apply
No disparagement of Don'Q Technologies

10.6 Effect of Termination
Termination does not:
Relieve parties of obligations accrued prior to termination
Affect provisions that by their nature should survive
Limit Don'Q Technologies' right to enforce post-termination covenants
Entitle either party to damages except as provided by law

11. LIABILITY AND INDEMNIFICATION

11.1 Limitation of Liability

11.1.1 Don'Q Technologies' Liability
To the maximum extent permitted by law, Don'Q Technologies' total liability is limited to:
The amount of fees paid by the other party in the [12 months] prior to the claim
Don'Q Technologies is not liable for indirect, consequential, incidental, or punitive damages

11.1.2 Exceptions to Limitation
Liability limitations do not apply to:
Gross negligence or willful misconduct
Fraud or fraudulent misrepresentation
Death or personal injury
Violations of law that cannot be limited

11.2 Indemnification

11.2.1 Franchisee/Partner Indemnification
Franchisees and Partners agree to indemnify, defend, and hold harmless Don'Q Technologies and its affiliates, officers, directors, employees, and agents from all claims, damages, losses, and expenses (including attorneys' fees) arising from:
Operation of the franchisee's/partner's business
Breach of this Agreement
Negligence or willful misconduct
Violation of laws or regulations
Employment-related claims
Products or services provided by franchisee/partner
Injuries to persons or property

11.2.2 Don'Q Technologies Indemnification
Don'Q Technologies agrees to indemnify franchisees and partners for claims arising solely from:
Don'Q Technologies' gross negligence or willful misconduct
Infringement of third-party intellectual property rights by authorized use of Don'Q Technologies' marks
Material breach by Don'Q Technologies

11.3 Insurance as Primary
All insurance required under this Agreement shall be primary and non-contributory to any insurance maintained by Don'Q Technologies.

11.4 Independent Contractor Relationship

11.4.1 No Agency or Employment
Franchisees, Partners, and Vendors are independent contractors, not employees, agents, or partners of Don'Q Technologies. They have no authority to:
Bind Don'Q Technologies to contracts
Make representations on behalf of Don'Q Technologies
Create obligations for Don'Q Technologies

11.4.2 No Joint Venture
Nothing in this Agreement creates a joint venture, partnership, or agency relationship.

11.4.3 Separate Liabilities
Each party is solely responsible for:
Their own employment and labor obligations
Their own tax obligations
Their own business operations
Claims arising from their operations

12. DISPUTE RESOLUTION

12.1 Informal Resolution
Before pursuing formal dispute resolution, parties agree to:
Communicate concerns in writing
Attempt good-faith negotiations
Involve senior management
Consider mediation

12.2 Mediation
If informal resolution fails, parties agree to:
Submit disputes to non-binding mediation
Use a mutually agreed mediator or mediation service
Share mediation costs equally
Participate in good faith

12.3 Arbitration

12.3.1 Binding Arbitration
If mediation fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), except:
Either party may seek injunctive relief in court
Claims under $[Amount] may be brought in small claims court

12.3.2 Arbitration Procedures
One arbitrator selected according to AAA rules

Discovery limited to avoid excessive cost

All parties waive the right to participate in class actions, collective actions, or representative proceedings.

13. MISCELLANEOUS PROVISIONS

13.1 Entire Agreement
This Agreement, together with all referenced documents, constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations.

13.2 Amendments
This Agreement may only be amended by written document signed by authorized representatives of both parties. Don'Q Technologies may modify the Operations Manual, which binds franchisees.

13.3 Waiver
Failure to enforce any provision does not waive the right to enforce it later. Waiver of one breach does not waive subsequent breaches.

13.4 Severability
If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect. Invalid provisions shall be modified to the minimum extent necessary to make them valid.

13.5 Assignment

13.5.1 By Don'Q Technologies
Don'Q Technologies may assign this Agreement to:
Any affiliate or subsidiary
Any purchaser of substantially all assets or business
Any entity in a merger or reorganization

13.5.2 By Other Parties
Other parties may not assign without prior written consent, except as specifically provided in this Agreement.

13.6 Force Majeure
Neither party is liable for failure to perform due to causes beyond reasonable control, including:
Acts of God, natural disasters
War, terrorism, civil unrest
Government actions
Pandemics or epidemics
Utility failures
Strikes or labor disputes

13.7 Notices
All notices must be in writing and delivered to the addresses specified in the individual agreement by:
Personal delivery
Overnight courier
Certified mail, return receipt requested
Email to designated addresses (with confirmation)

13.8 Survival
The following provisions survive termination or expiration:
Payment obligations
Intellectual property provisions
Confidentiality and non-compete
Indemnification
Limitation of liability
Dispute resolution

13.9 Interpretation
Headings are for convenience only
"Including" means "including without limitation"
Singular includes plural and vice versa
No inference drawn against drafting party
Days are calendar days unless specified as business days

13.10 Counterparts and Electronic Signatures
This Agreement may be executed in counterparts, each of which is an original. Electronic signatures are valid and binding.

13.11 Compliance with Anti-Discrimination Laws
All parties must comply with federal, state, and local anti-discrimination laws and may not discriminate based on race, color, religion, sex, national origin, age, disability, genetic information, sexual orientation, gender identity, or any other protected characteristic.

13.12 Acknowledgment of Receipt
By engaging with Don'Q Technologies in any capacity, you acknowledge that:
You have received and reviewed these Terms of Agreement
You have had the opportunity to ask questions and seek legal counsel
You understand and accept the terms and obligations
You agree to be bound by this Agreement

ACCEPTANCE AND SIGNATURE
By continuing to engage with Don'Q Technologies Incorporated, you acknowledge that you have read, understood, and agree to be bound by these Terms of Agreement and Use.
For specific relationships (Franchisee, Partner, etc.), this Agreement shall be supplemented by additional specific agreements that incorporate these Terms by reference.
